1. Acceptance of Terms
By accessing or using the Zelosy workspace platform (the “Service”) operated by Zelosy Collaboration Inc. (“Zelosy,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Zelosy is an AI-powered team collaboration platform that provides messaging, task management (Kanban and Gantt views), file storage, time tracking, video calls, document editing, calendar, automation, and workspace management capabilities. The Service is provided as a web application accessible through modern browsers and as a Progressive Web App (PWA).
3. Accounts & Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials, including any two-factor authentication (2FA) secrets and recovery codes. You agree to notify us immediately of any unauthorized use of your account.
You must be at least 16 years old to use the Service. You agree to provide accurate and complete registration information and to keep it updated.
4. Organizations & Workspaces
The Service is organized into Organizations (billing entities) and Workspaces (collaboration environments). Organization Administrators (“Org Admins”) are responsible for managing their organization, including member roles, billing, and workspace configuration.
Zelosy supports 7 roles: Org Admin, Agency Admin, Editor, Agency Member, Client Admin, Client Member, and Guest. Each role has specific permissions as described in our documentation. Org Admins are responsible for assigning appropriate roles to members.
5. Acceptable Use
You agree not to use the Service to upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; to impersonate any person or entity; to interfere with or disrupt the Service or servers; to attempt to gain unauthorized access to other users’ accounts or workspaces; to use the Service for any purpose that violates applicable law; or to transmit viruses, malware, or other harmful code.
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Your Content & Data
You retain ownership of all content you create, upload, or share through the Service (“Your Content”). By using the Service, you grant us a limited license to host, store, process, and display Your Content solely to provide and improve the Service.
You are responsible for ensuring you have the right to share any content you upload. You may export or delete Your Content at any time through the Service.
7. AI-Powered Features
The Service includes AI-powered features provided through Google’s Gemini API, including a chat assistant, board generation, document co-pilot, and smart snapshots. When you use these features, relevant context from your workspace is sent to Google’s servers for processing.
AI-generated content is provided as-is and may contain inaccuracies. You are responsible for reviewing and verifying any AI-generated content before relying on it. We do not guarantee the accuracy, completeness, or reliability of AI outputs.
8. Pricing & Billing
The Service offers Free, Pro ($12/month), and Enterprise ($49/month) plans. Pricing is per organization, not per user. Plan details, including member limits, storage limits, and feature availability, are described on our Pricing page.
Paid plans are billed monthly. You may upgrade, downgrade, or cancel at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle. No refunds are provided for partial months. We reserve the right to change pricing with 30 days’ notice.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Enterprise customers may negotiate specific SLA terms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZELOSY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
11. Termination
You may terminate your account at any time. We may suspend or terminate your access if you violate these Terms or if your account remains inactive for an extended period. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice within the Service or by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
